South Dakota Business Formation — LLC, Corporation & More

How to form an LLC or corporation in South Dakota, filing fees, annual reports, and entity comparison.

Choosing the right business entity is one of the most important decisions you will make. South Dakota recognizes several entity types, each governed by specific statutes §47-34A-202.

LLC Formation

The most popular entity for small businesses. To form an LLC in South Dakota:

1
Choose a unique name (check availability with South Dakota Secretary of State, Corporations Division)
2
File Articles of Organization with South Dakota Secretary of State, Corporations Division (fee: $150) §47-34A-202
3
Designate a Registered agent in South Dakota
4
Create an Operating Agreement §47-34A-103 (not always required by law, but strongly recommended)
5
Obtain an EIN from the IRS
6
Register for state and local taxes

Corporation Formation

Annual/Periodic Filing Requirements

South Dakota LLCs (and foreign LLCs authorized here, except banks organized under 51A-3-1.1) must deliver an annual report to the Secretary of State. The reporting fee is $55, and a company that fails to file on time is subject to a $55 penalty; paper filings currently cost $70 per the Secretary of State fee schedule. Corporations file their own annual report under the business corporation act (currently $55 online, $70 on paper). §47-34A-211; §47-34A-212.
